1. Acceptance of Terms
By accessing or using ThePayBureau (“the Service”), operated by Intelligent Payroll Limited T/A The Pay Bureau (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.
These terms apply to all users of the Service, including individual payroll consultants using our free tier and bureau organisations using our paid tier.
2. Description of Service
ThePayBureau is a payroll bureau management platform that helps payroll professionals manage client payrolls, track HMRC deadlines, and organise payroll workflows. The Service is provided as a Software-as-a-Service (SaaS) application accessible via web browser.
The Service is designed to assist with payroll administration and organisation. It does not calculate payroll, file tax returns, or submit data to HMRC on your behalf. You remain solely responsible for the accuracy and timeliness of all payroll processing and HMRC submissions.
3. Account Registration and Security
To use the Service, you must create an account using a valid professional email address. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used in violation of these terms.
4. Service Tiers
Free Tier: Available to individual payroll consultants at no cost. Includes core features for managing personal client payrolls. We reserve the right to modify the features available in the free tier at any time with reasonable notice.
Paid Tier: Available to payroll bureaus and organisations managing multiple consultants. Pricing is as published on our website and is subject to change with 30 days’ notice. Paid subscriptions are billed monthly and may be cancelled at any time, taking effect at the end of the current billing period.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorised access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit viruses, malware, or other malicious code
- Use the Service to store or process data that you do not have the right to use
- Resell, sublicense, or redistribute the Service without our written consent
- Use automated means to access the Service (scraping, bots) without authorisation
6. Intellectual Property
The Service, including its design, features, code, and content, is the intellectual property of Intelligent Payroll Limited T/A The Pay Bureau and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all data you input into the Service. By using the Service, you grant us a limited licence to store, process, and display your data solely for the purpose of providing the Service to you.
7. Data Handling
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in our Privacy Policy.
You are responsible for ensuring that you have all necessary rights and consents to input any personal data into the Service, including payroll data relating to your clients and their employees.
8. Limitation of Liability
To the maximum extent permitted by law, Intelligent Payroll Limited T/A The Pay Bureau shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or secure. HMRC deadline calculations and reminders are provided as a convenience only and should not be relied upon as your sole means of compliance tracking.
Our total liability under these terms shall not exceed the amount paid by you to us in the twelve months preceding the claim.
9. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time for violation of these terms, with or without notice.
Upon termination, your right to access the Service will cease immediately. We will retain your data for a reasonable period (up to 90 days) to allow you to export it, after which it will be permanently deleted.
10. Changes to Terms
We may update these Terms of Service from time to time. We will notify you of any material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated terms.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
